Terms and Conditions for BazarSouq

1. Introduction

Welcome to BazarSouq (“we,” “our,” “us,” or “the Marketplace”). By accessing or using our website, mobile application, and related services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms, you may not use our Services.

These Terms constitute a legally binding agreement between you (whether as a “Buyer,” “Vendor,” or visitor) and BazarSouq.

2. Definitions

  • “User” refers to any individual or entity accessing the Site.

  • “Vendor” (or Seller) refers to a User who lists and sells products or services on the Marketplace.

  • “Buyer” refers to a User who purchases products or services on the Marketplace.

  • “Content” refers to text, images, video, and other data uploaded to the Marketplace by Users.

3. Account Registration & Security

  • Eligibility: You must be at least 18 years old to use our Services. By registering, you represent that you have the legal capacity to enter into a binding contract.

  • Account Information: You agree to provide accurate, current, and complete information during registration and to keep it updated.

  • Security: You are responsible for maintaining the confidentiality of your login credentials. You are liable for all activities that occur under your account. You must notify BazarSouq immediately of any unauthorized use.

4. The Marketplace Role

BazarSouq acts as an intermediary venue that allows Vendors to list and sell products and Buyers to purchase them.

  • Not a Party to Transactions: We are not a party to the actual transaction between Buyers and Vendors. We do not own, take possession of, or inspect the goods sold (unless explicitly stated otherwise in a specific fulfillment service agreement).

  • No Endorsement: We do not guarantee the quality, safety, or legality of items listed, the truth or accuracy of listings, or the ability of Vendors to sell items or Buyers to pay for them.

5. Terms for Vendors

By listing products on BazarSouq, you agree to the following:

  1. Listing Accuracy: You must provide accurate, complete, and truthful descriptions of your products, including clear images, prices, and shipping costs.

  2. Prohibited Items: You may not sell illegal, counterfeit, stolen, or otherwise prohibited items (e.g., weapons, hazardous materials, adult content). BazarSouq reserves the right to remove any listing at its sole discretion.

  3. Intellectual Property: You represent that you own or have the necessary rights to sell the items you list and that your listings do not infringe on third-party intellectual property rights.

  4. Order Fulfillment: You are solely responsible for packaging, shipping, and ensuring the delivery of items to Buyers within the timeframes specified in your listing.

  5. Fees and Commissions: You agree to pay BazarSouq a commission fee of 10% on the final sale price (including/excluding shipping) of each item sold. Fees will be deducted automatically from your payout.

  6. Taxes: You are responsible for collecting and remitting all applicable taxes (e.g., sales tax, VAT) associated with your sales.

6. Terms for Buyers

By purchasing products on BazarSouq, you agree to the following:

  1. Contract of Sale: When you purchase an item, you are entering into a legally binding contract directly with the Vendor, not BazarSouq.

  2. Payment: You agree to pay the total amount listed, including shipping and applicable taxes. Payments are processed through our third-party payment processors.

  3. Risk of Loss: The risk of loss and title for items purchased pass to you upon delivery of the item to the carrier by the Vendor.

  4. Product Descriptions: While we strive for accuracy, BazarSouq does not warrant that product descriptions or other content are accurate, complete, reliable, current, or error-free.

7. Returns and Refunds

  • Vendor Policy Controls: Each Vendor may have their own return policy. Buyers should review the specific Vendor’s policy on the product page before purchasing.

  • BazarSouq Guarantee: If an item is significantly different from its description or never arrives, you may be eligible for a refund under the BazarSouq Buyer Protection Program, subject to our review.

  • Disputes: In the event of a dispute between a Buyer and Vendor, BazarSouq encourages amicable resolution. We may, at our discretion, step in to mediate but are under no obligation to resolve the dispute.

8. Prohibited Conduct

You agree NOT to:

  • Violate any laws or third-party rights.

  • Use our Services to distribute spam, viruses, or pyramid schemes.

  • Harvest or collect information about users, including email addresses, without their consent.

  • Interfere with the working of our Services or impose an unreasonable load on our infrastructure.

9. Content and Intellectual Property

  • License to BazarSouq: By uploading content (e.g., product photos, reviews), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and display that content in connection with the Services.

  • BazarSouq IP: The BazarSouq name, logo, and website design are trademarks and intellectual property of BazarSouq. You may not use them without our prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law: BazarSouq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Services, any products purchased, or the conduct of any Vendor or Buyer. Our total liability for any claim arising out of these terms shall not exceed the amount of fees paid by you to BazarSouq in the past 12 months (if a Vendor) or any amount of money paid by you to BazarSouq for Services/Products (if a Buyer).

11. Indemnification

You agree to indemnify and hold harmless BazarSouq, its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising out of your breach of these Terms, your improper use of the Services, or your violation of any law or the rights of a third party.

12. Termination

We may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

13. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Iraq.

  • Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration in Iraq, except for disputes that qualify for small claims court.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
